Please read these Terms and Conditions ("Terms") carefully before using the Griddy mobile application (the "App") operated by Griddy ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

You must be at least 13 years of age to use Griddy. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

To access certain features of the App, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration.

• Maintain the security of your password and account credentials.

• Notify us immediately of any unauthorized use of your account.

• Accept responsibility for all activities that occur under your account.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on your personal iOS device solely for your personal, non-commercial use. You may not:

• Copy, modify, or distribute the App or any part of it.

• Reverse engineer, decompile, or disassemble the App.

• Use the App for any unlawful purpose or in violation of any regulations.

• Attempt to gain unauthorized access to any part of the App or its related systems.

• Sell, sublicense, or transfer your rights under these Terms to any third party.

Griddy allows you to connect and display content from third-party services including but not limited to Gmail, Outlook, Facebook, Instagram, Bloomberg TV, Yahoo Finance, Charles Schwab, and weather and calendar providers. By connecting these services, you:

• Authorize Griddy to access the relevant data from those services on your behalf.

• Agree that your use of those services remains subject to their own terms of service and privacy policies.

• Acknowledge that Griddy is not affiliated with, endorsed by, or responsible for any third-party service.

All content, features, and functionality of the App — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Griddy and are protected by applicable intellectual property laws. The Griddy name, logo, and all related marks are trademarks of Griddy. You may not use them without our prior written consent.

You agree not to use the App to:

• Harass, abuse, or harm another person.

• Upload or transmit viruses or any malicious code.

• Interfere with or disrupt the integrity or performance of the App.

• Collect or harvest any personally identifiable information from other users.

• Violate any applicable local, national, or international law or regulation.

Griddy may offer free and premium subscription tiers. If you subscribe to a paid plan:

• Payment will be charged to your Apple ID account at confirmation of purchase.

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.

• You may manage and cancel your subscription through your Apple ID account settings.

• No refunds will be provided for partial subscription periods, except as required by applicable law.

The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. Financial data, weather information, and other live feeds are provided for informational purposes only and should not be relied upon for investment or other decisions.

To the fullest extent permitted by law, Griddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with your use of the App, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless Griddy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your license to use the App will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, through an in-app notification. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

If you download the App through the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Griddy only, not with Apple Inc.

• Apple has no obligation to provide maintenance or support for the App.

• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. Apple has no other warranty obligation with respect to the App.

• Apple is not responsible for addressing any claims by you or any third party relating to the App.

• Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them.
